Conversion of Partnership into LLP

  • Obtain a DSC (Digital Signature Certificate). All the partners will require a digital signature.
  • Obtain a DPIN (Designated Partner Identification Number). Every Member should apply for DPIN/DIN (Director Identification Number).
  • Next, apply for name approval. The naming guidelines for LLP shall apply.
  • Finally, file LLP Form 17, LLP Form 2 and LLP form 3 for the conversion.

List of documents required to apply for the conversion include:

  1. Address proof of registered office
  2. Approval by regulatory authority, if any
  3. Details of partnership (including details of partners and directors)
  4. Consent of all the partners
  5. Copy of the latest income tax return (Acknowledgment)
  6. No Objection Certificate from tax authorities
  7. List of creditors and their consent and
  8. Statement of liabilities and assets, duly certified.

Conversion of Partnership into a Private Limited Company :

  • A minimum of Two partners.
  • A minimum share capital of Rupees one lakh.
  • Object Clause of your Memorandum of Association should permit the company to be formed to acquire the assets and liabilities of the existing firm.
  • Obtain DSC (Digital Signature Certificate) and DIN (Director Identification Number).
  • Memorandum of Association and Articles of Association to be drafted.
  • Apply for name approval. The naming guidelines for Private Limited Company shall apply.
  • Filing of form 18, 37, 32, 39, 40 and 41 along with identity proof, address proof of registered office and a No-objection certificate from the landlord.
